USER AGREEMENT:

This Anti-Spam Agreement by and between: SONSERVER.COM (“SonServer”) and (“User”) WHEREAS SonServer or a related party provides internet access and related services to the User; AND WHEREAS User wishes to purchase the Email Defense Service from SonServer;

NOW THEREFOR for and in consideration of the mutual promises, benefits and covenants contained herein and for other good and valuable consideration, the receipt, adequacy and sufficiency of which are herby acknowledged, SonServer and User, intending to be legally bound, hereby agree as follows:

1.DEFINITIONS
(a)“Bulk email” means a group of approximately five hundred (500) or more emails with substantially similar content;
(b)“Email Defense Service” means the packaged services offered by SonServer directly or indirectly through any contract with any service provider;
(c)“Effective Date” shall mean the later of the two dates on the signature lines below;
(d)“Fee(s)” mean the monies payable for the Email Defense Service in accordance with Section 4 herein;
(e)“Junk email” means unsolicited commercial mail;
(f)“Open Relay” means an STMP email server that allows third party relay of email messages;
(g)“Prohibited Use” means those actions outlined in Section 3.2 herein;
(h)“Term” has the meaning outlined in Section 5 of this Agreement;
(i)“Virus” means a piece of program code, including a self replicating element, usually disguised as something else that causes an unexpected and undesirable event and which is designed so that it may infect other computer systems;
(j)All initially capitalized terms not otherwise defined in this Amendment Agreement shall have the definitions assigned to such terms in the RSP Agreement.

2.SERVICES PROVIDED

2.1 Email Defense Service is available as the following offering:
(a)Anti-Spam Feature:  Email messages will be filtered using multiple spam detection rules and techniques to determine if the message is considered “spam”.  Users will be able to configure various policy and user settings through a web interface.

(b)The Email Defense Service administration tool provides email filtering configuration and reporting features for the User in conjunction with the Email Defense Service.  The administration tool is made available to User administrators through a password-protected website.

(c)The Email Defense Service scans the User’s incoming email and performs filtering according to each user’s configuration and the features they have subscribed to.

(d)The Email Defense Service has the ability, if subscribed to and configured by User, to store or quarantine suspect email.  Quarantined email will be retained for a period of seven (7) days.  SonServer reserves the right to modify the quarantine period upon notice.

(e)SonServer may from time to time provide enhancements to the Email Defense Service and the administration tool at no additional charge to User.

(f)The Email Defense Service is only available to Users whose email systems are directly and permanently connected to the Internet with a fixed IP address.  The Email Defense Service may not be able to scan certain email attachments, which are under the direct control of the sender (such as password protected and/or encrypted attachments).

3.USER OBLIGATIONS

3.1 User agrees not to permit its email server or where applicable, to allow Open Relay.  SonServer from time to time test a User’s email server to ensure that User’s email service does not support Open Relay.

3.2 User agrees not to (i) transmit through the Email Defense Service any Junk email, Viruses or Bulk email;
(ii) allow its systems to serve as an Open Relay;
(iii) interfere with or disrupt the Email Defense Service or any networks connected to the Email Defense Service;
(iv) transmit obscene or pornographic material;
(v) take any action that imposes an unreasonable or disproportionately large load on SonServer infrastructure providing the Email Defense Service;
(vi) impersonate any person or entity or falsely state or otherwise misrepresent an affiliation with a person or entity; (vii) use the Email Defense Service for any purpose that is in violation of any applicable law or is otherwise an infringement on the rights of any person or entity;
or (viii) modify, decompile, reverse engineer, disassemble or reproduce any of SonServer’s licensed or owned software, systems, applications or components used in providing the Email Defense Service .

4.FEES

4.1 User shall pay to SonServer the non-refundable amounts set for on Schedule A.
4.2 SonServer reserves the right to change the fees upon reasonable notice to User.

5.TERM OF AGREEMENT

5.1 The term of this Agreement shall commence on the Effective Date and will continue until the earlier of the following:  (i) by either party upon thirty (30) days written notice, or (ii) SonServer elects to terminate its Email Defense Service offering.

6.MAINTENANCE AND SUSPENSION OF SERVICES

6.1 SonServer may from time to time perform maintenance on or otherwise suspend the Email Defense Service and temporarily shut down the Email Defense Service.  SonServer will make best efforts to minimize any disruption of Email Defense Service.

6.2 Notwithstanding the foregoing, SonServer may, in its unilateral discretion, immediately suspend the Email Defense Service if SonServer deems it necessary to terminate Prohibited Use, use of a User’s email server as an Open Relay, hacking attempts, service attacks or any other malicious activities either directed at or originating from User.

7.SECURITY

7.1 Although information transmitted to SonServer is stored in secure operating environments, User understands, and shall ensure that its Users understand and agree, that no data transmission over the Internet can be guaranteed 100% secure.  SonServer is not responsible for any interception or interruption of any communications through the Internet.  User and its Users are responsible for maintaining the security of access codes.

8.CONFIDENTIALITY

8.1 In the normal provision of the Email Defense Service, email messages are processed electronically, and are not reviewed by SonServer personnel.  Notwithstanding the foregoing, SonServer reserves the right to utilize any content of an email or its attachments to maintain or improve the performance of the Email Defense Service, or to observe, study and test the functioning of the Email Defense Service.  In addition, some information may be shared on an aggregate basis only as a part of a larger set of statistics (for example, statistics that indicate amount of traffic, success rates, and size of SonServer customers).  SonServer may use cookies to store user name, access codes, and application setting to ease site navigation processes.

9. THIRD PARTY INFORMATION

9.1 Independent third parties may supply some of the information used in the Email Defense Service such as Virus definitions.  While SonServer makes every effort to ensure the accuracy of all information, SonServer makes no warranty as to the accuracy of any such information.

10. REPRESENTATIONS AND WARRANTIES

10.1 User acknowledges and agrees that SonServer does not guarantee that the Email Defense Service will meet the requirements of the User.
 
10.2 User acknowledges that, as Viruses are regularly created and distributed, the Email Defense Service is intended to detect only specific known Viruses and some unknown Virus behavior patterns.  SonServer does not warrant that the Email Defense Service will detect all Viruses present on User’s computer system, network or email server.

THE WARRANTIES AND CONDITIONS STATED HEREIN ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

SonServer SHALL NOT BE LIABLE FOR ANY MISREPRESENTATION, BREACH OF ANY IMPLIED OR EXPRESS WARRANTY OR CONDITION, OR BREACH OF ANY OTHER TERM (INCLUDING A FUNDAMENTAL BREACH OR BREACH OF A FUNDAMENTAL TERM), OR BE OTHERWISE LIABLE IN CONTRACT, TORT, OR OTHEWISE FOR: (A) INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGES; (B) LOSS OF REVENUE; (C) LOSS OF PROFITS; (D) LOSS OF BUSINESS OR GOODWILL; (E) LOSS OF, DAMAGE TO OR CORRUPTION OF DATE; (F) LOST EMAIL OR (G) PUNITIVE DAMAGES; EVEN IF SonServer HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 
USER’S SOLE REMEDY IN THE CASE OF ANY LOSS OR DAMAGE RESULTING FROM ANY MISREPRESENTATION, BREACH OF CONTRACT, NEGLIGENCE, ERROR OR DEFECT IN THE SERVICES PROVIDED BY SonServer HEREUNDER SHALL BE TERMINATION OF THIS AGREEMENT.

11.INDEMNITY

11.1 User, at it own expense, will indemnify, defend and hold harmless SonServer and its employees, directors, officers, representatives, agents, affiliates and third party beneficiaries, against any claim, suit, action, or other proceeding brought against SonServer based on or arising from any claim or alleged claim (i) relating to any product or service of User, including, but not limited to, User advertising, systems and other processes, fees charged, billing practices and customer service.  User will not enter into any settlement or compromise of any such indemnifiable claim without SonServer’s written consent, which consent shall not be unreasonably withheld.  User will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by SonServer in connection with or arising from any such indemnifiable claim, suit, action or proceeding.  If SonServer is threatened with suit by a third party, it may seek written reiteration of User’s indemnification obligations; any failure by User to provide said written assurance may result in suspension or termination of its account.
